1. Einzelunternehmer and Freiberufler: solo launch
Every German founder starts with a structuring choice between Gewerbe activity (declared at Gewerbeamt) or Freiberufler (declared at Finanzamt).
Einzelunternehmer (sole proprietorship) is the simplest form for a solo founder. No share capital required, fast registration (1 to 2 days), reduced formalities. The critical distinction in German law separates two regimes: Gewerbe (commercial, industrial, or craft activity) and Freiberufler (regulated liberal profession — doctor, lawyer, architect, consultant, journalist, programmer, etc.). This distinction conditions registration at the Gewerbeamt (commerce town hall) or directly at the Finanzamt (tax administration), liability to Gewerbesteuer (local business tax, 7 to 17% by municipality), and mandatory IHK (Chamber of Industry and Commerce) registration.
Kleinunternehmer status (small-business regime) is an optional fiscal regime open to all Einzelunternehmer and Freiberufler whose annual turnover stays under €25,000 (threshold raised since 2025, previously €22,000) and will not exceed €100,000 the following year. The benefit: complete VAT exemption (Umsatzsteuer 19% standard or 7% reduced). In exchange, VAT paid on professional purchases is not recoverable. The regime is particularly suited to service activities with low purchase levels (consultants, digital freelancers, trainers).
An Einzelunternehmer's profit (Gewinn) is taxed at income tax (Einkommensteuer) per the German progressive scale: 0% up to €12,084 (2025), 14% up to €17,432, then progressive brackets up to 42% from €68,481, and 45% beyond €277,826 (2025 marginal rate). The Solidaritätszuschlag (solidarity surcharge, 5.5% of tax) no longer applies to modest incomes since 2021 but remains due above €73,463 of tax. The Kirchensteuer (church tax, 8 or 9% by Land) adds for taxpayers affiliated to a recognized church.
Mandatory Krankenkasse
Every German independent must affiliate to a health insurance fund (Krankenkasse) — either gesetzlich (public, ~14.6% of income + long-term care contribution 3.05%) or privat (private, individual rate by age and risks). Total cost represents €280 to €800 per month by income and chosen fund. This is often the most surprising budget item for French entrepreneurs accustomed to the general scheme.
