The decisions to record in an acquisition
Depending on the structure (share transfer, purchase via holding, entry of partners), an acquisition usually requires several formalised decisions:
- Approval of the acquirer as a new partner, where the articles or the law require it.
- Recording of the transfer of shares or stock to the acquirer.
- Removal or resignation of the selling director and appointment of the new director.
- Any statutory amendments (purpose, office, governance) linked to the acquisition.
