What meeting minutes are for
The minutes formalise and preserve the record of collective decisions. Several situations require them:
- The constitutive meeting: at creation, to record the constitution and appoint the director.
- The annual approval of accounts and allocation of profit.
- Important decisions: amending the articles, changing the manager, capital increase.
- The entry or exit of partners.
Well-drafted minutes secure the decisions and provide evidence in case of later disagreement.
